Client Sales Data Privacy Policy
Our Commitment to Privacy
Envision Horizons (the “Company” or “we”) value your trust in us and we look forward to working with you. We respect your company’s privacy and are committed to protecting it through our compliance with this Client Sales Data Privacy Policy (the “Policy”).
This Policy covers the types of information we collect, why we collect that information, and our practices for using, maintaining, protecting, and disclosing that information.
Please read this Policy carefully. The safety, security, and confidentiality of your Data (as defined below) is important to us. By accepting the terms of this Policy and using our Services (as defined in our Service Agreement), you accept and agree to the terms of this Policy.
What Information We Collect
Envisions Horizons is a full-channel Amazon advertising agency that specializes in helping brands scale on Amazon. The myHorizons Web Application, or myHorizons, is a tool that provides increased transparency and new insights into client performance. As an essential part of providing this tool and its services more generally, the Company must collect, review, analyze, and use certain client sales data. This information is contained in your Amazon account and includes, but is not limited to:
Product name;
Number of units sold;
Sale price;
Revenue received; and
Amazon fees paid;
(the “Data”).
How We Use The Data
The Company utilizes Data to provide you with the best quality services to enhance your sales and business functions. The Company maintains the discretion to use the Data in manners it deems appropriate for the provision, including but not limited to the following purposes:
To provide the Services, as set forth in our Service Agreement;
To carry out the Company’s contractual obligations and enforce the Company’s rights under any contractual agreement between you and the Company, including but not limited to the Service Agreement;
To assess and improve the types of services we provide and determine whether any additional services or offerings could benefit you;
To analyze sales patterns, market trends, or any other valuable information so that we can improve our Services and offerings to you;
As otherwise set forth in this Policy.
The Company may also use the Data, and any information it pulls from the Data, for market research, strategy development, internal analysis, advertising, marketing, or similar purposes. In doing so, the Company will not disclose any client-specific identifying information, including Confidential Information (as defined in our Service Agreement).
Disclosure Of Your Information To Third-Parties
We will not sell or disclose the Data to any third parties except as provided below:
To our subsidiaries and affiliates, as necessary;
To contractors, service providers, and other third parties we use to support our business;
To enforce the terms of our agreement, including but not limited to our Services Agreement, this Policy, or any other agreement between us, including for billing or collection purposes;
To comply with any court order, law, legal process, or as otherwise compelled by any judicial body, including to respond to any government or regulatory request;
In connection with any Company merger, acquisitions, or asset sale; and
For any other purpose, with your consent.
The Data we collect is from Amazon. We assume no responsibility for and are in no way liable for, and disclosure of the Data as a result of Amazon’s practices, actions, inactions, or omissions.
Data Security
We have implemented certain measures to protect the Data from unauthorized access, use, alteration, and disclosure. Some of these measures include third-party encryption software, individualized login credentials for Company employees and contractors, and access logs.
While we strive to use commercially reasonable efforts to protect the Data, the safety and security of the Data also depend on you. The Company strongly encourages you to monitor your Amazon account, internal controls, and Data to ensure that it is protected at all times. Do not provide your Amazon credentials to those who are not authorized to access or use the Data. You are responsible for maintaining the confidentiality of your Amazon account credentials.
The Company does not know, maintain, or share the credentials to your Amazon account.
Unfortunately, the storage of information (such as the Data) on the internet is not without risk. No method of information storage on the internet is completely secure. We cannot, and do not, guarantee that the Data cannot be accessed by unauthorized individuals and we are not responsible for the circumvention of any security measures we implement.
Use of Data Post Termination
In the event the Service Agreement between you and the Company is terminated, the Company will retain the Data for as long as is necessary for the purposes set forth in the Service Agreement, this Policy, or as otherwise required to comply with any and all legal obligations.
The Company retains the right to analyze the Data and use any insights it has from the Data for Company market research, strategy development, internal analysis, and marketing. This may include using information from the Data to strengthen the Company’s Services, improve its functionality, or expand its offerings to other clients.
The Company may disclose this information to third parties. In doing so, the Company will not disclose any client-specific identifying information, including Confidential Information (as defined in our Service Agreement).
Disclaimers, Limitations on Liability, and Indemnification
The Data is gathered from other data and information contained in your Amazon account. The Data is accurate to the best of the Company’s ability, but the Company does not warrant, guarantee, or in any way promise the accuracy, completeness, or reliability of the Data. Only Amazon can provide completely accurate Data. Any reliance you place on the Data, or information contained therein, is strictly at your own risk. To the fullest extent permitted by law, the Company disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for a particular purpose. The Company specifically disclaims all liability and responsibility arising from any reliance, however reasonable, placed upon the Data by you or any other person or entity.
To the fullest extent permitted by law, in no event will the Company, officers, agents, employees, or directors be liable for any damages of any kind, under any legal theory, arising out of or in connection with the use of, access to, or dissemination of, the Data, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to emotional distress, loss of revenue, loss of profits, loss of business or anticipated business, loss of use, loss of goodwill, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
This limitation of liability does not apply to liability resulting from the Company’s gross negligence or willful misconduct.
You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, agents, employees, contractors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) (the “Claims”), arising out of or relating to the Company’s use of the Data at any time in connection with the Services, and as set forth in this Policy, including but not limited to any Claims brought by or on behalf of Amazon, its affiliates, subsidiaries, related entities, successors, or assigns.
Changes To Our Policy
We may revise, change, or update the terms of this Policy from time to time in our sole discretion. In the event of any material changes, we will inform you in writing. Your continued use of the Company’s services is deemed to be acceptance of those changes. You may request the most recent version of this Policy from the Company at any time.
